Goods
The description of the Goods is set out in our sales documentation unless expressly modified in our quotation. By accepting the quotation, you confirm that you have not relied on any other statements, promises, or representations about the Goods made by us. Descriptions in sales documentation are provided as a guide only.
We reserve the right to make changes to the specification of the Goods as necessary to comply with applicable safety or statutory and regulatory requirements.
Price
The price (Price) of the Goods is set out in our quotation at the time of your order or as agreed in writing. If our costs increase due to factors beyond our control—such as material costs, labour costs, changes in exchange rates, or delivery rates—we may adjust the Price prior to delivery, notifying you beforehand.
The Price excludes:
• Packaging and transportation/delivery fees.
• VAT and other applicable taxes or levies imposed by relevant authorities.
Cancellation & Alteration
Details of the Goods, as described in the Goods clause, may be subject to alteration without notice and do not constitute a contractual offer to sell the Goods. Quotations, including non-standard prices negotiated, are valid for 7 days unless expressly withdrawn earlier.
Either party may cancel an order for any reason before the quotation is accepted or rejected.
Payment
Invoices will be issued:
• On or after the delivery of Goods, or
• Where the Goods are to be collected or delivery is refused, once you are notified that the Goods are ready for collection or delivery has been attempted.
You must pay within 7 days of the invoice date unless otherwise agreed. If payment is not received within this period, we reserve the right to:
• Suspend further deliveries.
• Charge interest at 5.25% per annum above the Bank of England’s base rate until payment is made in full.
Payments must be made in GBP unless otherwise agreed. No deductions or set-offs are permitted.
Delivery
We will deliver Goods to the address specified in the quotation or order, or as agreed in writing. If no delivery address is provided, you must collect the Goods. Delivery may occur between 8 a.m. and 8 p.m.
Failure to accept delivery may result in:
• Storage fees, including costs for transportation and insurance.
• Redelivery charges.
• Disposal of Goods after 10 business days, with charges applied for any shortfall below the original Price.
Delivery dates are approximate, and delays caused by factors beyond our control will not constitute a breach of contract.
Inspection and Acceptance
You must inspect Goods on delivery or collection. Damages or shortages must be reported in writing within 2 days of delivery. Returned Goods are accepted only if deemed defective after inspection and will be repaired, replaced, or refunded at our discretion.
We will not accept liability for defects caused by:
• Misuse, negligence, or failure to follow instructions.
• Normal wear and tear.
Risk passes to you upon delivery; title passes only upon full payment.
Risk and Title
Risk in the Goods transfers upon delivery. Title to the Goods transfers upon full payment for:
• The Goods in question, and
• Any other goods or services we have supplied for which payment is due.
Until title transfers, you must:
• Hold the Goods as our bailee.
• Store them separately and maintain their condition.
Limitation of Liability
We are not liable for:
• Indirect, special, or consequential losses.
• Loss of profits, data, business, or goodwill.
• Failures caused by circumstances beyond our control.
Liability is capped at the total Price of the Goods. This does not exclude liability for death, personal injury, fraud, or any matter where exclusion is illegal.
Communications
Notices must be in writing and addressed to the most recent contact details provided. Notices are deemed received when:
• Delivered in person or by courier.
• Successfully transmitted by fax or email.
• Five business days after mailing (domestic).
Data Protection
As a data processor under GDPR, we process personal data only as required to deliver the Goods, ensuring security and compliance. Full details are outlined in our Data Protection Policy. For queries, contact info@consultit.uk.
Governing Law
